Terms of Sale & End-User Licence

1. Parties and product

These terms govern MetaWrap Founder Edition, supplied by MetaWrap di Elvis Morelli, VAT IT01304200452, Via Leandro Biselli 16, 54033 Gragnana, Carrara (MS), Toscana, Italia, contact hello@metawrap.ai. Stripe / Sold through Link is the Merchant of Record for checkout, payment, indirect tax and transaction-level payment support.

Founder Edition is downloadable Blender software for Windows x64, currently supported on Blender 5.0, 5.1 and 5.2. The product page and documentation describe the included MetaWrap, MetaSculpt and MetaGroom components and any separate Unreal bridge.

2. Account, delivery and devices

The purchase is attached automatically to the MetaWrap.ai account signed in at checkout. Delivery occurs through private account downloads after Stripe confirms the order. The licence is for one named purchaser and may be active on up to two devices belonging to that purchaser. Two devices are not two transferable seats.

3. Licence grant and ownership

Subject to payment and these terms, MetaWrap grants the purchaser a personal, non-exclusive, non-transferable, perpetual licence to use the purchased supported version for personal or commercial creative work. As between you and MetaWrap, MetaWrap claims no ownership of your original input files or creative outputs; third-party rights and licences still apply. MetaWrap and its code, models, documentation, branding and other supplied assets remain protected intellectual property.

Founder updates are made available through the account while those updates are offered for Founder Edition. Separate future products or hosted services, including any future Web Instant Conform plan, are not included unless explicitly stated at purchase.

4. Restrictions

You may not share, resell, sublicense, publish or redistribute the software or download links; rent accounts or device slots; bypass licensing; remove technical protections; use one purchase as a studio multi-user licence; or extract and redistribute supplied proprietary models or assets. Applicable law may provide non-waivable rights, including limited interoperability rights.

5. Activation, updates and availability

Initial activation and periodic renewal require internet access. A time-limited signed offline lease allows temporary offline use. Security, compatibility and signed updates may require a supported build. If MetaWrap permanently discontinues its activation service, it will use commercially reasonable efforts to provide a lawful transition path for legitimate purchasers of the supported perpetual version, unless prevented by law, security abuse or a third-party platform dependency.

6. Price, tax and withdrawal

The displayed base price may exclude indirect tax. Stripe / Link calculates and collects VAT, GST or sales tax according to the buyer's location and status. Before payment, checkout shows the final amount.

Where consumer withdrawal rights apply to immediately supplied digital content, download or activation will begin only after your explicit request and acknowledgement that the statutory withdrawal right may be lost once performance begins. This does not remove mandatory rights for faulty, misdescribed or non-conforming digital content.

7. Support, suspension and acceptable use

Support covers installation and documented product workflows through official channels. MetaWrap may temporarily restrict an account or device where reasonably necessary to investigate fraud, chargebacks, credential sharing, attacks or licence abuse. We will restore legitimate access when the issue is resolved. Serious or repeated breach may terminate the licence, subject to mandatory consumer law.

8. Conformity, warranty and liability

MetaWrap will provide the digital content as described and apply mandatory consumer conformity remedies. Results depend on input geometry, Blender/OS compatibility and third-party software. To the maximum extent permitted by law, MetaWrap is not liable for indirect or consequential business loss, lost production time or lost data; this does not exclude liability that cannot lawfully be limited.

9. Governing law and contact

Italian law applies, without depriving consumers of mandatory protections available in their country of residence. Courts are determined by applicable consumer and jurisdiction rules. Questions: hello@metawrap.ai.
